Terms of Service
Last updated: October 12, 2026
1. Who we are and what these terms cover
These Terms of Service (the “Terms”) are a binding agreement between you and TrueProfit, operated by Spencer Byl (“TrueProfit”, “we”, “us”, or “our”), a business based in Ontario, Canada. They govern your access to and use of our websites, applications, and related services, including the business profit-tracking tool at trueprofit.ca and the consumer personal-finance tool “TrueProfit Personal” at personal.trueprofit.ca (together, the “Service”).
Some sections apply differently depending on whether you use the Service as a business or as a consumer for personal, family, or household purposes. Where that is the case, we say so. Nothing in these Terms limits any right you have under the Ontario Consumer Protection Act, 2002 and its regulations, or any successor consumer-protection legislation, that cannot be waived by agreement.
2. Acceptance of these terms
By creating an account, clicking to accept, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, our Acceptable Use Policy, our Refund & Cancellation Policy, and our Financial & Tax Disclaimer, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Service. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
3. Eligibility
To use the Service you must be at least the age of majority in your province or territory of residence (18 in Ontario), or use it under the supervision of a parent or legal guardian who agrees to these Terms on your behalf and accepts responsibility for your use. The Service is not intended for anyone under the age of majority. You must also be able to form a binding contract and not be barred from using the Service under any applicable law.
4. Accounts and security
Account creation and sign-in are handled by our authentication provider, Clerk. You agree to provide accurate and complete information, to keep it current, and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly at support@trueprofit.ca if you suspect any unauthorized use. We may refuse, suspend, or reclaim any account or username at our reasonable discretion, for example where required by law or to protect the Service or other users.
5. Subscriptions, billing, and auto-renewal
The Service offers free and paid plans. Paid business plans are offered at CAD $19 and $49 per month; paid TrueProfit Personal plans are offered at CAD $4.99 and $9.99 per month. Current prices, features, and any taxes are shown at checkout and on our pricing pages, which form part of these Terms.
- Payment processor. Payments are collected and processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your chosen payment method for the applicable fees and taxes.
- Recurring billing and auto-renewal. Paid plans are billed in advance and renew automatically at the end of each billing period (monthly, unless stated otherwise) at the then-current price for that plan, until you cancel. By subscribing you consent to these recurring charges.
- How to cancel. You can cancel at any time from your account billing settings or by emailing support@trueprofit.ca. Cancellation takes effect at the end of the current billing period, and you keep access until then. See our Refund & Cancellation Policy for details.
- Price changes. We may change prices or plan features. For recurring plans, we will give you advance notice (at least 30 days where reasonably practicable, or as required by law) before a change applies to your next renewal, and the change will not take effect until your current paid period ends. If you do not accept a change, you may cancel before it takes effect.
- Taxes. Fees are exclusive of applicable taxes (such as HST) unless stated otherwise. You are responsible for any taxes associated with your purchase, other than taxes on our net income.
- Failed payments. If a charge fails, we may retry, and we may suspend or downgrade paid features until payment succeeds.
6. Refunds
Our refund terms are set out in our Refund & Cancellation Policy, which is designed to be consistent with the Ontario Consumer Protection Act, 2002. Nothing in these Terms removes a refund or cancellation right that applicable consumer-protection law gives you and that cannot be waived.
7. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy. Among other things, you agree not to use the Service for any unlawful or fraudulent purpose, to upload another person's data without authority, to attempt to access accounts or data that are not yours, to interfere with or disrupt the Service, or to reverse engineer, scrape, or resell the Service except as permitted by law. We may suspend or terminate access for violations.
8. Your data and ownership
You own your data. As between you and us, you retain all right, title, and interest in the financial and other data you enter or upload (revenue, expenses, receipts, categories, settings, and similar content, your “Content”). You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display, and process your Content solely to operate, secure, support, and improve the Service for you, and as directed by your use of features such as reports, the AI assistant, or integrations. This licence ends when your Content is deleted, except for residual backups that expire in the ordinary course and anonymized or aggregated data that no longer identifies you.
You are responsible for the accuracy, quality, and legality of your Content and for having the rights needed to provide it. Our handling of personal information is described in our Privacy Policy.
9. Third-party services and integrations
The Service relies on third-party providers, including Clerk (authentication), Stripe (payments), Cloudflare (hosting, content delivery, and Cloudflare Workers AI), and a Postgres database, and it offers an optional Shopify integration. If you connect Shopify or another third-party service, you authorize us to access and exchange data with that service as needed for the integration, and your use of it is also governed by that provider's own terms and privacy practices. We do not control, and are not responsible for, third-party services, and we are not liable for their acts, omissions, outages, or data practices. Links to third-party sites are provided for convenience only.
10. AI assistant
The Service includes an optional in-app assistant powered by Cloudflare Workers AI. The assistant generates responses automatically and may be inaccurate, incomplete, or out of date. Its output is for general informational purposes only, is not professional advice, and must not be relied on without your own verification. You are responsible for reviewing any output before acting on it. We do not warrant the accuracy or suitability of assistant output, and section 12 (Disclaimers) and section 13 (Limitation of liability) apply to it in full.
11. No financial, tax, accounting, or investment advice
This is the most important thing to understand about the Service. TrueProfit is a self-serve software tool. The figures it displays, including profit, margin, estimated tax, projections, and any other calculated numbers, are generated automatically from the data you enter and from assumptions and formulas that may not fit your situation. They are provided for general informational and organizational purposes only.
We are not accountants, bookkeepers, tax preparers, financial planners, investment advisers, or lawyers, and nothing in the Service is financial, tax, accounting, investment, or legal advice. The Service is not a substitute for a qualified professional. You must independently verify all figures and consult a qualified professional (such as a licensed accountant or tax adviser) before making any financial, tax, business, or investment decision, filing any return, or relying on any number the Service produces. To the maximum extent permitted by law, we are not liable for any decision you make, return you file, or action you take based on the Service or its output. See our Financial & Tax Disclaimer.
12. Intellectual property
The Service, including its software, design, text, graphics, logos, and the TrueProfit name and brand, is owned by us or our licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service, except as permitted by law or with our written consent. All rights not expressly granted are reserved. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.
13. Disclaimers (“as is”)
Except for any non-excludable warranties or conditions implied by applicable law, and to the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis without warranties or conditions of any kind, whether express, implied, statutory, or otherwise, including implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any figure, calculation, projection, or AI output is accurate, complete, or suitable for tax, accounting, filing, or decision-making purposes.
If you are a consumer in Ontario, certain warranties, conditions, and remedies are implied by law and cannot be excluded. Nothing in these Terms excludes or limits those rights, and this section applies to you only to the extent the law allows.
14. Limitation of liability
To the maximum extent permitted by applicable law, and subject to the consumer carve-out below:
- we and our operators, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, goodwill, data, or business, or for tax penalties, interest, reassessments, or professional fees, arising out of or relating to the Service, even if advised of the possibility of such damages; and
- our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) CAD $100.
Consumer carve-out. If you use the Service as a consumer for personal, family, or household purposes, some of these limitations may not apply to you. The Ontario Consumer Protection Act, 2002 prohibits terms that require you to waive certain rights, limits how far liability for implied warranties can be reduced, and may restrict mandatory arbitration and class-action waivers. Nothing in this section or these Terms limits liability that cannot be limited by law, including liability for gross negligence, willful misconduct, fraud, or personal injury, or any right or remedy you have under applicable consumer-protection law that cannot be waived. These limitations apply only to the extent the law permits and reflect a reasonable allocation of risk.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless TrueProfit and its operators from and against any claims, damages, losses, and reasonable expenses (including legal fees) arising out of your Content, your use of the Service, your violation of these Terms or any law, or your infringement of any third party's rights. If you are a consumer, this obligation applies only to the extent permitted by applicable consumer-protection law. We may participate in the defence of any claim at our own expense.
16. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms or any policy incorporated into them, if required by law, or to protect the Service or other users. We may also discontinue the Service or any feature on reasonable notice. On termination, your right to use the Service ends; you may export your Content before termination where the Service provides that option, and we handle remaining data as described in our Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
17. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the “last updated” date above and provide reasonable notice (for example, by email or an in-app notice) before they take effect for existing users. Changes do not apply retroactively. Continued use of the Service after changes take effect means you accept the revised Terms; if you do not agree, stop using the Service and, if applicable, cancel your subscription.
18. Governing law and jurisdiction
These Terms and any dispute relating to them or to the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to any non-waivable right a consumer has under applicable law, you and we agree to the exclusive jurisdiction of the courts located in Ontario, Canada, and consent to venue there. If you are a consumer, nothing in this section deprives you of the protection of mandatory rules of the jurisdiction where you reside.
19. General
These Terms, together with the policies incorporated by reference, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms do not create any agency, partnership, or employment relationship.
